About the Opportunity

Clean Energy, California is now seeking applications for the position of Corporate Paralegal with a minimum of 5-7 years of experience.

Roles and Responsibilities

  • Support entity management function through creation, maintenance, and dissolution of corporate entities, including preparation of organizational documents, maintenance of minute books, drafting of minutes and consents, preparation and filing of annual reports and compliance requirements in various states, preparation and updating of entity organizational charts, and tracking corporate authorizations and intercompany agreements.
  • Assist with SEC reporting (10-K, 10-Q, 8-K, proxy).
  • Assist with administration of equity compensation plan and related records, documentation, stock transfer, beneficial ownership table, and SEC filings including Section 16 filings/Form 4.
  • Support corporate secretary function with drafting, organization and distribution of board, committee, and shareholder documents.
  • Assist with administration of corporate compliance programs and policies (e.g., insider trading, 10b5-1 plan guidelines, etc.).
  • Assist with the preparation, distribution and review of director and officer questionnaires, board and committee assessments, and other governance and reporting matters.
  • Manage legal and corporate records.
  • Support the preparation for the annual meeting of stockholders. 
  • Maintain and track intellectual property portfolio and assist with trademark and patent filings.
  • Liaise with outside counsel and vendors.
  • Stay current and advise on applicable SEC, Nasdaq, and state law requirements.
  • Collaborate cross functionally, including with HR, finance/accounting, and tax teams.
  • Help with M&A, financing, and capital markets transactions, including due diligence and document preparation, closing checklists, and tracking deliverables. Prepare and manage company data rooms in connection with corporate transactions. Draft officer certificates and compliance documents. Index and organize transaction documents.
  • Draft and file UCC financing statements.  
  • Provide litigation, investigation, bankruptcy, and regulatory support as needed.
  • Assist with contract administration including reviewing, proofing and summarizing key contractual provisions in electronic database, and tracking contractual obligations.
  • General and as-needed support to the legal operations function.

Eligibility Criteria

  • Minimum 5-7 years of relevant experience supporting SEC and stock exchange compliance and reporting, corporate governance, equity plan administration, entity management, corporate secretary, M&A, corporate finance, securities law, and corporate compliance functions at publicly-traded companies

Salary

$90,000 – $150,000
