About the Opportunity
The Legal Counsel will be a corporate generalist and will be responsible for managing and supporting a variety of commercial/transactional and litigation matters, as well as providing day-to-day legal advice to various business units within the organization.
Duties and Responsibilities
- Draft, review and negotiate a wide range of commercial agreements, including services agreements, SaaS agreements, data processing agreements, NDAs, and other commercial agreements;
- Partner cross-functionally with global teams (e.g., Risk, Compliance, Information Security, Finance, and IT) on a variety of commercial matters
- Support all corporate governance functions, including assisting with the preparation and administration of monthly Board and committee meetings;
- Manage subpoena response process from intake to production of records;
- Assist in managing the organization’s litigation portfolio, including reviewing pleadings and motions;
- Interact with internal business groups, external customers, vendors, and strategic partners to provide counsel and timely updates on various legal and commercial issues;
- Advise internal clients on legal issues relating to contracts and/or securities law matters;
- Develop and maintain internal procedures and processes, such as the implementation of a contract management system and continuous review and updating of contract templates;
- Coordinate with and manage external counsel with respect to real property, IP, regulatory, employment, and other matter requiring assistance.
Education Requirements
- JD from an ABA-accredited law school and admitted to the state bar.
Skills, Capabilities and Attributes
The successful candidate will demonstrate the following experience, skills and behaviours:
- Corporate generalist with at least 3 years of experience in the corporate department of a top-tier law firm or the in-house legal department of a financial institution (i.e., bank, broker/dealer, trust company) or a fintech company
- Strong transactional experience with drafting and negotiating client and vendor agreements and other third-party contracts (SaaS, NDAs, etc.)
- Working knowledge about data protection and privacy laws
- Working knowledge of federal securities laws, i.e., registration requirement under the 1933 Act and exceptions such as Rule 144 (familiarity with transfer agents and proxy solicitors is a plus, but not required)
- Familiarity with the New York Banking Laws and regulations of the NYS Department of Financial Services a plus;
- Strong analytical, problem-solving, and writing skills;
- Ability to use and quickly learn new platforms and technologies;
- Detail-oriented but also able to operate with a strategic focus;
- Strong interpersonal skills; ability to build strong working relationships at all levels of management and work on cross-functional teams; and
- Able to perform both independently and in a team environment.
Salary
Minimum Pay is $109,700.
